1. Electricity, Mining, Transportation

The Project Development activity is dedicated to the major infrastructure, mining, energy, transport and real estate sectors.

Our geographical area of choice is France (including overseas territories), North Africa and Sub-Saharan Africa where we assist many investors in the development and structuring of their projects.

The firm mainly works with a clientele of investors (private and institutional) and industrial operators to whom our team brings its sectoral experience and knowledge of market practices. With our experience, we draft and negotiate complex industrial contracts on behalf of our clients in coordination with their technical and commercial teams.

Given our areas of expertise, the firm is regularly called upon to negotiate investment agreements and/or partnership agreements (in the form of joint ventures or shareholders' agreements) with host countries.

2. Electricity

KAB LS mainly advises sponsors on independent power generation projects in France and Africa (North Africa and Sub-Saharan Africa). Our practice covers the drafting and negotiation of project documentation (PPA, EPC, O&M, LTSA, Host Government Agreement) as well as aspects related to the acquisition or disposal of these assets. Our attorneys also have the know-how in relation to the French regulatory framework applicable to electricity generation and have negotiated directly with representatives of the CRE or the Ministry of Ecology in this area.

3. Mines

KAB LS advises leading mining operators in the development and operation of their projects in Sub-Saharan Africa. We have an unrivalled knowledge of numerous African mining legislations and of the commercial and legal trends of this evolving market (renegotiation and review procedures). Our intervention covers acquisition due diligence, (re)negotiation of mining concessions, investment agreements and partnership agreements with host states.

4. Transport infrastructure

We have gained sharp skills in the legal and commercial aspects related to the development and construction of port and railway infrastructures. We assist our clients with the legal structuring of these projects and the related negotiations with the host countries (concession documents). Finally, we are very familiar with the legal and commercial issues related to the mutualization of this type of infrastructure between several users (multi-user agreements).
